Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of the website and platform provided by BizSim UG (haftungsbeschränkt) ("BizSim", "we", "us"). By accessing our website or using our services, you ("Customer", "you") agree to these Terms.
1. Provider

2. Scope and precedence
These Terms apply to our website and to the use of our platform unless a separate written agreement (e.g. a pilot, project or subscription agreement) has been concluded between you and BizSim. In the event of a conflict, the provisions of such an individual agreement take precedence over these Terms. These Terms are addressed to businesses (B2B); our services are not directed at consumers.
3. Services
BizSim provides an ontology-driven platform for modelling, simulating and improving business operations, together with related professional services. The platform is under active development and is currently offered to selected pilot and design-partner customers. The specific scope, service levels and deliverables are defined in the applicable individual agreement.
4. Pilot and project engagements
Pilot and project engagements are agreed individually and are typically delivered on a fixed-fee basis. The scope, timeline, fees and acceptance criteria are set out in the relevant order or statement of work. Unless otherwise agreed, pilot deliverables are provided for evaluation purposes.
5. Registration and accounts
Where accounts are provided, you are responsible for keeping access credentials confidential and for all activity carried out under your account. You must notify us without undue delay of any unauthorised use. We may suspend access in case of misuse or a security risk.
6. Acceptable use
You agree not to misuse the services, in particular not to (a) violate applicable law or third-party rights; (b) attempt to gain unauthorised access to systems or data; (c) interfere with the integrity or performance of the services; or (d) upload unlawful content or malware.
7. Fees and payment
Fees are governed by the applicable individual agreement. Unless otherwise stated, prices are exclusive of statutory value added tax. Invoices are payable within the period stated on the invoice. We do not currently offer self-service paid subscriptions via this website; commercial terms are agreed directly with us.
8. Intellectual property
All rights in the platform, its software, documentation and underlying ontologies remain with BizSim or its licensors. Subject to the applicable agreement and payment of any fees, we grant you a non-exclusive, non-transferable right to use the services for your internal business purposes for the term of the agreement. You retain all rights in your own data and content.
9. Customer data and confidentiality
Each party shall keep confidential the other party's confidential information and use it only for the purposes of the engagement. Where we process personal data on your behalf, we do so in accordance with our Privacy Policy and, where applicable, a Data Processing Agreement pursuant to Art. 28 GDPR.
10. Availability
We endeavour to make the services available with reasonable continuity but do not warrant uninterrupted or error-free operation, in particular for pilot, beta or pre-release features. Maintenance windows and further service levels, if any, are defined in the applicable agreement.
11. Warranty
Statutory warranty rights apply within the framework of the applicable individual agreement. For services provided free of charge or for evaluation purposes, liability for defects is limited as permitted by law.
12. Limitation of liability
We are liable without limitation for damages resulting from injury to life, body or health, from intent or gross negligence, and under the German Product Liability Act. In the case of slight negligence, we are liable only for the breach of an essential contractual obligation (an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance you may regularly rely), and in such cases liability is limited to the foreseeable damage typical for this type of contract. Any further liability is excluded. The foregoing limitations also apply in favour of our legal representatives and vicarious agents.
13. Term and termination
The term and termination of paid services are governed by the applicable individual agreement. We may terminate access to free or evaluation services at any time with reasonable notice. The right to terminate for good cause remains unaffected.
14. Changes to these Terms
We may amend these Terms where necessary, for example to reflect changes to the services or to the legal framework. The version published on this page applies to your current use of the website.
15. Final provisions
These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Insofar as permitted, the exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is the registered seat of BizSim. Should any provision of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected.
